The responsibilities of the board, as set out in the board charter, include:
- Governing, directing and monitoring the performance of the business as a going concern
- Setting strategy
- Ensuring effective management of the company
- Ensuring, primarily through its Risk Management and Audit committees, that adequate and effective controls are in place to mitigate, manage and avoid risks to the business
- Providing direction to management
- Presiding over material business decisions
